| Rome Bancorp, Inc. ("Rome Bancorp" or the "Company") is a Delaware
corporation organized on June 9, 1999 as the stock holding company for The Rome
Savings Bank ("Rome Savings" or the "Bank"), a federally chartered stock savings
bank headquartered in Rome, New York. Rome Bancorp`s principal business is to
hold the capital stock of Rome Savings.
The Rome Savings Bank is a federal stock savings bank and the wholly-owned
subsidiary of Rome Bancorp. Rome Savings was originally chartered in 1851 as a
New York mutual savings bank. On October 6, 1999, Rome Savings reorganized into
a mutual holding company structure and formed Rome Bancorp and Rome, MHC. On
April 27, 2004, Rome, MHC, Rome Bancorp and Rome Savings completed their
conversions from New York-chartered companies to federally-chartered companies
regulated by the Office of Thrift Supervision (the "OTS"). |
