laws of the State of Israel. Blue Square`s principal executive offices are
located at 2 Hamal Street, Rosh Ha`ayin 48092, Israel and its telephone number

Effective January 1, 1996, we and our former controlling shareholder, the
Co-Op, completed a reorganization of holdings, pursuant to which the Co-Op
transferred to Blue Square in consideration for 29,789,000 of Blue Square`s
ordinary shares, its then 67% interest in BSIP and other shareholdings and
rights. In 1996, Blue Square completed its initial public offering and its ADSs
were listed for trading on the New York Stock Exchange. In November 2000, Blue
Square`s ordinary shares were listed for trading on the Tel Aviv Stock Exchange.
